Terms of Service

These Terms of Service ("Terms") govern access to Kelpi's websites, applications, AI agents, messaging integrations, and related services (the "Services"). Kelpi is a product operated by Fluenn, Inc. By creating an account or using the Services, you agree to these Terms.
Eligibility and Accounts
You must be legally able to enter into these Terms and authorized to act for any organization you connect to Kelpi. You are responsible for accurate account information, maintaining credential security, assigning appropriate user roles, and all activity performed through your account.
The Services
Kelpi helps businesses manage leads and customer communications through channels such as Facebook Messenger, Instagram, WhatsApp, SMS, email, and voice. Features may include AI-generated responses, routing, scheduling, analytics, integrations, and automated workflows.
We may improve, modify, suspend, or discontinue features. Beta or preview features may be less reliable and may change without notice.
Connected Accounts and Messaging
When you connect a third-party account, you represent that you own or control it and authorize Kelpi to access and process its data solely to provide the requested Services. You must:
- Obtain all notices, permissions, and consents required to contact people and process their information
- Follow applicable messaging, marketing, privacy, consumer-protection, telemarketing, and anti-spam laws
- Follow Meta's, WhatsApp's, Instagram's, Facebook's, and other providers' terms and platform policies
- Honor opt-outs, deletion requests, quiet hours, and channel-specific messaging windows
- Keep automation instructions accurate and supervise high-impact or sensitive conversations
Third-party providers control their platforms. Kelpi is not responsible for provider outages, policy changes, account restrictions, reviews, or rejected messages.
Customer messaging programs
Businesses using Kelpi remain the senders of messages sent in their own name. Each business must identify itself to recipients, maintain its own messaging terms and privacy notice, obtain and retain valid consent for each message subject, register its messaging use cases when required, and provide working opt-out and help mechanisms. Consent given to Kelpi or Fluenn, Inc. does not authorize a customer business to send messages, and consent given to one customer business cannot be transferred to another.
The Kelpi Transactional SMS program described below applies only to verification codes and transactional links sent directly by Kelpi, a product operated by Fluenn, Inc., after a user requests them. It does not cover discounts, promotions, support conversations, or other messages sent by businesses that use Kelpi.
Kelpi Transactional SMS Program
Program description and consent
Kelpi Transactional SMS sends a one-time passcode or secure transactional link when a user enters a mobile number on a Kelpi authentication, account, or product-demonstration screen, chooses the requested message type, and selects Send code or Send secure link. The message is used only to authenticate the user, verify the mobile number, or continue the account or session workflow that the user selected. The program does not include advertising, coupons, discounts, or recurring promotional messages.
By selecting Send code or Send secure link, you request and consent to receive one transactional SMS from Kelpi at the mobile number you provided. Consent to receive a requested code or link is not a condition of purchasing a product or service. You represent that you are authorized to use the number provided.
Message frequency and charges
Message frequency varies based on your activity and is generally one message for each code or link request. If you request another code or link, you may receive another message. Message and data rates may apply according to your mobile carrier and plan.
Opt-out and help
Reply STOP to stop Kelpi transactional messages. After an opt-out request, Kelpi will send no further transactional messages to that number unless you validly enroll again. Reply HELP for assistance or contact hello@kelpi.io. Because these messages deliver requested codes and links, opting out may prevent completion of the selected workflow.
Delivery and privacy
Mobile carriers are not liable for delayed or undelivered messages, and delivery is not guaranteed. Kelpi may use communications providers and mobile carriers to transmit transactional messages.
Our Privacy Policy explains how we collect, use, disclose, and protect mobile information. We do not sell, rent, or share mobile numbers or SMS opt-in information with third parties or affiliates for their own marketing or promotional purposes.
AI-Generated Content
AI output can be inaccurate, incomplete, or inappropriate. You are responsible for configuring agents, reviewing their behavior, and deciding when human oversight is required. Do not rely on Kelpi as the sole source of medical, legal, financial, emergency, or other high-stakes advice.
Acceptable Use
You may not use the Services to:
- Violate law, platform policy, or another person's rights
- Send spam, deceptive messages, unlawful marketing, harassment, or abusive content
- Impersonate another person or misrepresent the origin of communications
- Collect or process information without a lawful basis or required consent
- Upload malware, probe vulnerabilities, interfere with service operation, or bypass access controls
- Sell, sublicense, reverse engineer, or misuse the Services except where law expressly permits
- Use the Services for decisions that create unlawful discrimination or material harm
We may investigate violations and suspend access when reasonably necessary to protect users, third parties, providers, or the Services.
Customer Data
You retain ownership of information and content submitted to the Services. You grant Kelpi a limited right to host, process, transmit, and display that information only as necessary to provide, secure, support, and improve the Services and as described in our Privacy Policy.
You are responsible for the legality, accuracy, and quality of Customer Data and for maintaining any copies you require. Data deletion is described in our Data Deletion Instructions.
Fees and Billing
Paid features are subject to the prices, limits, billing cycle, taxes, and usage terms shown when you subscribe. You authorize charges to your selected payment method. Except where law requires otherwise, fees already paid are non-refundable.
We may change prices or plan limits with advance notice that is reasonable under the circumstances. Continued use after a change takes effect constitutes acceptance of the updated pricing.
Intellectual Property
Kelpi and its licensors own the Services, software, designs, documentation, trademarks, and related intellectual property. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription in accordance with these Terms.
If you provide feedback, you authorize us to use it without restriction or compensation, provided we do not publicly identify you without permission.
Suspension and Termination
You may stop using the Services or delete your account at any time. We may suspend or terminate access for material breach, unlawful activity, security risk, non-payment, platform-provider action, or conduct that threatens the Services or others.
Upon termination, your right to use the Services ends. Provisions that by their nature should survive—including payment obligations, intellectual property, disclaimers, limitations of liability, and dispute provisions—will survive.
Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing. We do not guarantee uninterrupted operation, delivery by third-party channels, specific business results, or that AI output will be accurate.
Limitation of Liability
To the maximum extent permitted by law, Kelpi and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities arising from the Services.
To the maximum extent permitted by law, our aggregate liability for claims relating to the Services will not exceed the amount you paid Kelpi for the Services during the twelve months before the event giving rise to the claim. These limits do not apply where they are prohibited by law.
Indemnification
To the extent permitted by law, you will defend and indemnify Kelpi and its affiliates against third-party claims arising from your Customer Data, your use of the Services, your messaging or automation practices, or your violation of these Terms, law, or third-party rights.
Changes to These Terms
We may update these Terms to reflect changes to the Services or applicable requirements. We will post the revised Terms and update the date above. If a change materially affects your rights, we will provide additional notice when required. Continued use after the effective date means you accept the revised Terms.
